1. Acceptance of Terms
By downloading, installing, accessing, or using Apeirogon Studio ("the Software") or any related services (together, the "Services") provided by Apeirogon ("we", "us", "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Services.
2. Eligibility
You must be at least 16 years old, or the age of legal majority in your jurisdiction, to use the Services. By using the Services, you represent that you meet this requirement and have the authority to enter into these Terms, whether individually or on behalf of an organization.
3. License to Use the Software
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Apeirogon Studio on devices you own or control, solely for your own internal personal or business purposes. This license does not grant you any ownership interest in the Software.
4. Account & Subscription
Certain features may require an account and a paid subscription. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Subscription fees are billed in advance on a recurring basis and are non-refundable except as required by law or as expressly stated at the time of purchase. You may cancel your subscription at any time, effective at the end of the current billing period.
5. Acceptable Use
You agree not to: (a) reverse engineer, decompile, or disassemble the Software except as permitted by law; (b) resell, sublicense, or distribute the Software without our written consent; (c) use the Services to violate any applicable law or the rights of a third party; or (d) circumvent any technical measure used to enforce licensing or usage limits.
6. Your Content
You retain all ownership rights to the files, documents, spreadsheets, presentations, and other content you create or import using the Software ("Your Content"). Because Apeirogon Studio is designed to process Your Content locally on your device, we do not access, store, or claim any rights to Your Content, except where you explicitly choose to use an optional feature that transmits data off-device.
7. Intellectual Property
The Software, including its design, code, trademarks, and branding, is owned by Apeirogon and protected by intellectual property laws. Nothing in these Terms transfers any ownership of the Software or our intellectual property to you, other than the limited license described above.
8. Third-Party Services
The Services may reference or link to third-party websites, products, or services that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third party, and your use of third-party services is at your own risk.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
To the fullest extent permitted by law, Apeirogon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.
11. Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms. You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will continue to apply.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by updating the "Last updated" date below or notifying you through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the jurisdiction in which Apeirogon is established, without regard to its conflict of law provisions.
